Please read these Terms of Service (“Terms”) carefully before using the PrimeHealth website at https://getprimehealth.com or our patient portal and telehealth services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
1. Who We Are
PrimeHealth provides telehealth-enabled hormone optimization, wellness, and concierge medicine services. Our licensed healthcare providers operate through independent medical practices. PrimeHealth facilitates the platform and administrative services; it does not practice medicine or provide medical advice directly.
2. Eligibility
To use our Services, you must:
- Be at least 18 years of age.
- Be a resident of a state in which PrimeHealth is authorized to provide services.
- Provide accurate, complete, and current information during registration and intake.
- Not be prohibited from receiving telehealth services under applicable law.
We reserve the right to refuse service to anyone at any time for any reason not prohibited by law.
3. Telehealth Services and Medical Disclaimer
Not a Substitute for Emergency Care
Our Services are not intended for medical emergencies. If you are experiencing a medical emergency, call 911 immediately or go to your nearest emergency room.
No Doctor-Patient Relationship with PrimeHealth
PrimeHealth is a technology and administrative services platform. Any physician-patient relationship is formed solely between you and the independently licensed healthcare provider who evaluates and treats you. PrimeHealth does not practice medicine and is not responsible for clinical decisions made by providers.
Telehealth Consent
By using our Services, you consent to receiving healthcare services via telehealth and acknowledge that:
- Telehealth has inherent limitations compared to in-person care.
- Your provider may determine that in-person care is necessary for your condition.
- Technical failures may interrupt or delay a consultation.
- Lab work, physical examination, or additional testing may be required before treatment.
Prescription Medications
Prescriptions are issued solely at the clinical judgment of your treating provider.PrimeHealth does not guarantee that any specific medication will be prescribed. Controlled substances are not prescribed through our platform.
4. Your Account
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at mike@diametrics.ai if you suspect unauthorized access. You are responsible for all activity that occurs under your account.
5. Fees and Payment
- Service fees are disclosed prior to consultation or enrollment in a care plan.
- Payment is due at the time of service unless a payment plan is agreed upon in writing.
- We accept major credit and debit cards processed through a PCI-compliant payment processor.
- Insurance: PrimeHealth is a cash-pay, out-of-pocket service and does not bill insurance. We may provide a superbill upon request for potential reimbursement — consult your insurer.
- Refunds: Consultation fees are non-refundable once a provider review or appointment has been completed. Unused medication may be eligible for a partial refund at our discretion. Contact us within 7 days of service with refund requests.
6. Acceptable Use
You agree not to:
- Provide false, inaccurate, or misleading information at any time.
- Use the Services for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to any part of the platform or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Services.
- Reproduce, redistribute, or resell any content from our platform without written permission.
- Harass, threaten, or abuse our staff, providers, or other users.
7. Intellectual Property
All content on the PrimeHealth website and patient portal — including text, graphics, logos, software, and clinical tools — is the property of PrimeHealth or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.
8. Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.PrimeHealth does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
Health-related content on our website is for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider regarding your specific medical condition.
10. SMS / Text Message Communications
By providing your phone number on any PrimeHealth form, you expressly consent to receive recurring automated text messages (SMS) from PrimeHealth related to your care, account, and appointments. Consent is not a condition of purchase or receiving care.
- Message frequency varies based on your activity and care plan.
- Message and data rates may apply based on your carrier plan.
- Reply STOP at any time to opt out of SMS messages.
- Reply HELP for help. You may also contact us at (954) 445-8144 or mike@diametrics.ai.
Opting out of SMS will not affect your ability to receive care. You may still receive non-marketing messages related to patient safety or account security.
11. Limitation of Liability
To the maximum extent permitted by applicable law, PrimeHealth, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages.
In no event shall our total liability to you for all claims exceed the amount you paid to PrimeHealth in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless PrimeHealth and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
13. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in Florida. The arbitrator's decision shall be final and binding.
Class Action Waiver: You agree that disputes will be resolved on an individual basis and not as part of any class or representative action.
14. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Services will immediately cease.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the Effective Date at the top of this page. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
